These Terms of Use (“Terms”) settles the terms and conditions under which you may access and use this website and/or application and/or other future platforms offered by Paragonis Media (“Site”), which is provided and made available to you by Paragonis Media and its affiliates as set forth below (“Company”, “Paragonis Media”, “we”, “our”, “us”).
Kindly note that by accessing and/or using the Site, you, your authorized representative and/or any entity you hereby represent (“User, “you”, “your”) accept these Terms & Conditions and the Privacy Policy and agree to be bound by them. Therefore, it is your obligation to read these Terms and the Privacy Policy carefully and make sure you agree with them before any access or use of the site.
You hereby represent and warrant that:
1. You have read, understood, and agree to engage with the Company under these Terms.
2. You meet the legal age requirements to enter into this Agreement and are not prohibited by law from doing so.
3. You are authorized to enter into and perform this Agreement on behalf of yourself or the entity specified upon subscribing to our services.

1. DEFINITIONS
For the purpose of these Terms & Conditions, the following definitions shall apply:
– “Company,” “We,” “Us,” or “Our” – Refers to Paragonis Media, including its affiliates, subsidiaries, and any entity operating under its brand.
– “User,” “You,” or “Your” – Any individual or entity that accesses, registers, or engages with our Platform or Services, including creators, affiliates, and visitors.
– “Site” – The website operated by Paragonis Media at https://paragonismedia.com, including any subdomains, applications, or future digital platforms.
– “Services” – The music licensing, content monetization, and related media services provided by Paragonis Media, including but not limited to music distribution, revenue sharing, affiliate programs, and Content ID management.
– “Platform” – The digital system where Users access Paragonis Media’s services, including their account dashboard, referral program, and revenue tracking tools.
– “Music Library” – The collection of licensed Works owned or controlled by Paragonis Media, available for creators to use in their content.
– “Works” – Any and all songs, sound recordings, compositions, or other audio content provided by Paragonis Media under a licensing agreement.
– “Affiliate Program” – The referral-based system allowing Users to earn commissions by introducing new creators to Paragonis Media’s services.
– “Parties” – Collectively refers to Paragonis Media and the User, unless otherwise specified.
– “Monetization” – The process by which revenue is generated through the use of Paragonis Media’s Works on platforms such as YouTube, through licensing, Content ID, or other revenue-sharing mechanisms.
– “Content ID” – The YouTube system used for identifying, managing, and monetizing copyrighted content uploaded by creators.
– “Business Day” – Any day except weekends and public holidays, officially recognized in the Republic of Ireland.
– “Third-Party Services” – External services, software, or platforms that integrate with or affect Paragonis Media’s Services, such as YouTube, payment processors, or licensing agencies.
– “Payout” – The earnings disbursed to Users from their monetized content, referral commissions, or other applicable revenue streams.
– “Violation” – Any breach of these Terms & Conditions, including unauthorized use of licensed Works, fraudulent activity, or any action that disrupts Paragonis Media’s operations.
2. USER ELEGIBILITY & ACCOUNT REGISTRATION
2.1 Eligibility
To access and use Paragonis Media’s Platform and Services, you must meet the following eligibility requirements:
– You must be at least 18 years old to create an account and engage with our Services.
– If you are under 18 but at least 13 years old, you may only use our Services through an account owned by a parent or legal guardian, with their explicit consent and direct supervision.
– Accounts cannot be created or used by individuals under 13 years old.
– If you are registering on behalf of a business or entity, you confirm that you have the legal authority to accept these Terms on its behalf.
2.2 Account Registration
To access certain features of our Platform, you must register for an account by:
– Providing accurate, current, and complete information (including your name, email address, and payment details where applicable).
– Maintaining the confidentiality of your login credentials (username, password, and security details).
– Ensuring that your account is used only by you and is not transferred, sold, or shared with others.

3. SERVICES PROVIDED
3.1 Overview
Paragonis Media provides music licensing and media services designed to help content creators, influencers, and businesses enhance their content while generating revenue through YouTube Shorts monetization. By using our Platform, Users gain access to a curated Music Library of fully licensed Works (songs) that can be used in their videos, ensuring they comply with copyright and monetization policies.
3.2 Scope of Services
Our Services include, but are not limited to:
– Access to a Music Library with pre-cleared songs for use in YouTube Shorts and other social media platforms (e.g. TikTok, Instagram, etc.).
– A revenue-sharing program where Users can earn from the monetization of Shorts featuring our Works.
– Content ID management, ensuring that eligible videos are properly tracked and monetized.
– Ongoing support to assist with licensing, monetization, and platform-related inquiries.
3.3 Service Limitations
– Non-Exclusive License: Users do not own the Works but are granted a limited, non-exclusive license to use them within the permitted scope.
– Platform Restrictions: Usage of the Works may be subject to platform-specific rules (e.g., YouTube’s Content ID policies).
– Revenue Sharing Eligibility: Monetization earnings are subject to YouTube’s policies and Paragonis Media’s terms.
– No Guarantee of Monetization: While we facilitate revenue opportunities, we do not guarantee that every video using our music will generate income.
3.4 Changes & Updates
Paragonis Media reserves the right to modify, discontinue, or enhance any aspect of its Services at any time. We may:
– Add or remove Works from the Music Library.
– Update the terms of revenue sharing or licensing policies.
– Introduce new features or modify existing ones to improve the User experience.
Users will be notified of significant changes through email, announcements on our Platform, or updates to these Terms.
4. LICENSE & USAGE RIGHTS
4.1 License Grant
When you access and use the Music Library provided by Paragonis Media, you are granted a limited, non-exclusive, non-transferable, and revocable license to use the Works (songs) in your YouTube Shorts and other permitted content, subject to the terms outlined in this Agreement. This license does not grant you ownership of the Works but allows you to use them in accordance with the terms below.
4.2 Permitted Usage
You may use the Works provided by Paragonis Media for the following purposes:
– Incorporating licensed Works into YouTube Shorts for monetization.
– Using the Works in videos uploaded to YouTube that comply with YouTube’s monetization and copyright policies.
– Participating in our revenue-sharing program, where eligible videos using our Works can generate earnings.
4.3 Usage Restrictions
You may not:
– Redistribute, resell, or sublicense the Works in any form, whether standalone or as part of a compilation.
– Claim ownership of the Works or register them with any third-party content protection system, including YouTube’s Content ID.
– Modify, remix, or alter the Works in a way that misrepresents the original artist’s intent or violates copyright law.
– Use the Works in content that is offensive, defamatory, hateful, or illegal, including but not limited to content that promotes violence, discrimination, or misleading claims.
4.4 Compliance with YouTube Policies & Copyright Laws
– You must adhere to YouTube’s terms of service, monetization policies, and copyright regulations when using our Works.
– Any unauthorized use of our Works may result in demonetization, copyright claims, or account termination by YouTube.
– Paragonis Media reserves the right to remove or restrict access to any Works that violate YouTube’s policies or are no longer available for licensing.
4.5 Changes to Licensing Terms
Paragonis Media reserves the right to modify its licensing terms at any time. Users will be notified of any major changes affecting their ability to use the Works. Continued use of our Music Library after such changes constitutes acceptance of the updated terms.
5. PAYMENTS & REVENUE SHARING
5.1 How Revenue Sharing Works
Paragonis Media enables Users to earn money by using our licensed Works (songs) in their YouTube Shorts. We collect revenue generated by these videos through YouTube’s monetization system and distribute a percentage of that revenue to Users based on their monthly views.
5.2 Revenue Share Tiers
The revenue share percentage is based on the total monthly views of Shorts using Paragonis Media’s Works:
· 0 – 15 million views/month → 55% revenue share
· 15 – 40 million views/month → 60% revenue share
· 40 million+ views/month → 65% revenue share
These percentages represent the final amount received by the User, with all platform fees, administrative costs, and deductions handled by Paragonis Media.
5.3 Payment Schedule & Methods
– Payments are processed on a monthly basis, with a standard two-month delay (e.g., revenue from January is paid at the end of March).
– Funds are distributed via bank transfer or other supported payment methods.
– Users are responsible for ensuring their payment details are correct and up to date.
5.4 Eligibility & Qualifying Usage
To qualify for revenue sharing, the User’s videos must meet the following conditions:
– The Works must be used in YouTube Shorts content.
– The Works must be clearly audible throughout the majority of the video.
– The User’s Shorts must be monetizable under YouTube’s policies (e.g., no copyright claims, guideline violations, or demonetization issues).
5.5 Adjustments & Late Payments
– If YouTube delays or adjusts payments, Paragonis Media is not liable for those delays. Payments will be made as soon as the revenue is received.
– In case of payment failures due to incorrect bank details, payments will be held until the User updates their information.
– Revenue share percentages are subject to change, and any updates will be communicated in advance.
5.6 Minimum Payment Threshold
To receive a payment, a User must accumulate at least $50 in earnings for the month. If a User’s earnings do not reach this threshold, the balance will roll over to the following month(s) until the total reaches $50. Once the minimum amount is met, the payment will be processed in the next scheduled payout.
6. AFFILIATE PROGRAM TERMS
6.1 Eligibility & Enrollment
The Paragonis Media Affiliate Program is an exclusive opportunity for approved affiliates to earn a commission by referring YouTube creators to our platform. Participation is not automatic—interested individuals must apply and be approved by Paragonis Media.
To qualify, applicants must:
– Have an active online presence relevant to content creators.
– Follow ethical marketing practices (no spam or misleading claims).
– Represent Paragonis Media professionally and accurately.
Paragonis Media reserves the right to accept, deny, or remove affiliates at any time.
6.2 How Commissions Work
– Affiliates receive a 15% commission on their referrals’ revenue for the first three months.
– This does not affect the referred creator’s earnings.
– Payments follow our standard revenue payment schedule (i.e., a two-month delay).
6.3 Program Rules
To maintain fairness and integrity, affiliates must adhere to the following rules:
– Promote via direct messages or private conversations—do not post affiliate links publicly.
– Ensure referrals are new to Paragonis Media (existing users do not count).
– Provide honest and accurate information—no misleading claims.
– Clearly state that you are an affiliate—you do not represent Paragonis Media as an employee.
– Maintain professionalism when promoting the program.
Prohibited actions:
– Spamming or mass-posting affiliate links in public forums or groups.
– Referring creators who are already registered with Paragonis Media.
– Attempting to manipulate, exploit, or abuse the referral system.
– Making false claims about earnings, services, or guarantees.
– Defaming Paragonis Media in any way.
Violating these rules may result in the withholding of commissions and removal from the program.
6.4 Program Changes & Termination
– Paragonis Media reserves the right to update or discontinue the affiliate program at any time.
– If the program is modified, affiliates will be notified in advance.
– If an affiliate account is terminated due to rule violations, all pending commissions may be forfeited.
7. PROHIBITED ACTIVITIES
By using Paragonis Media’s services, you agree to follow these rules and respect our community. Any violation may result in account suspension, termination, and/or legal action.
7.1 Prohibited Uses
You may not use Paragonis Media’s services for any illegal, harmful, or unethical activities, including but not limited to:

– Attempting to bypass, alter, or manipulate our rights management system.
– Submitting music or content you do not fully own or have rights to.

– Engaging in fraudulent transactions or attempting to exploit revenue-sharing mechanisms.
– Using bots, click farms, or any form of artificial engagement to manipulate earnings.
· Misuse of the Platform & Services
– Attempting to scrape, hack, reverse-engineer, or manipulate our website, databases, or systems.
– Uploading or spreading malware, viruses, or other harmful software.
– Spamming, mass messaging, or engaging in unauthorized promotions.
– Circumventing our policies or payment processes in any way.
· Harmful or Disruptive Conduct
– Harassing, threatening, defaming, or abusing other users or staff.
– Promoting hate speech, discrimination, violence, or illegal activities.
– Interfering with the experience of other users or attempting to damage Paragonis Media’s reputation.
7.2 Consequences for Violations
Paragonis Media reserves the right to take immediate action if we determine that a user has violated these policies. This may include:
– Warning or temporary restrictions on account access.
– Suspension or permanent termination of your account.
– Forfeiture of any unpaid earnings if any violation is detected.
– Legal action if necessary to protect our platform, partners, or reputation.
Paragonis Media reserves the right to remove or restrict access to any user, content, or service at our sole discretion.
8. INTELLECTUAL PROPERTY RIGHTS & COPYRIGHT POLICY
8.1 Ownership of Content
All content available on Paragonis Media’s website, platform, and services—including but not limited to text, images, music files, graphics, logos, trademarks, software, and other digital assets—are the exclusive property of Paragonis Media Ltd. These materials are protected by copyright, trademark, and other intellectual property laws.
By using our services, you acknowledge that you do not gain any ownership or rights to our content, except for the limited rights explicitly granted in these Terms.
8.2 Permitted & Prohibited Uses

Paragonis Media reserves the right to suspend or terminate your account, with or without notice, if:

12. LIABILITY & INDEMNIFICATION

We do not guarantee that our platform or services will always function without disruptions, delays, or errors, nor do we guarantee specific results from using our services. Users access and use our platform at their own risk.

To the fullest extent permitted by the law, Paragonis Media, its affiliates, officers, directors, employees, and partners shall not be liable for:

In the event of a Force Majeure occurrence, Paragonis Media’s obligations shall be suspended for the duration of the event, and we will make reasonable efforts to mitigate the impact on our users. However, we are not responsible for any resulting losses, damages, or delays.
14. GOVERNING LAW & DISPUTE RESOLUTION
14. 1. Governing Law
These Terms and any disputes arising out of or relating to them shall be governed by and interpreted in accordance with the laws of Ireland, without regard to conflict of law principles. However, if you are a consumer residing in the European Union (EU), you may also be entitled to certain protections under the laws of your country of residence.

– The arbitration shall take place in Dublin, Ireland, unless both parties agree otherwise.
– It will be conducted before a single arbitrator appointed in accordance with DDRC rules.
– The arbitrator’s decision shall be final and binding on both parties.
c. Exceptions to Arbitration

d. No Class Actions
